Terms of Service

The Mortgage Stack (the “Service”) is operated by Simple Software LLC, a Colorado limited liability company (“we,” “us,” or “Simple Software”). By accessing or using the Service, you agree to these Terms of Service. If you do not agree, do not use the Service.

1. The Service

The Service provides web-based software tools for mortgage industry operators (loan officers, brokers, processors, and similar professionals) and a paid membership that unlocks access to those tools. We add and change tools over time.

2. Eligibility

You must be at least 18 years old and use the Service for business or professional purposes. By using the Service you represent that the information you provide is accurate and that you are authorized to use it.

3. Membership and billing

Paid memberships are sold and billed through Substack, subject to Substack’s own terms. Your access to the tools is tied to an active paid subscription. If your subscription ends, lapses, or is canceled, your access ends. We do not process your payments directly and do not store your payment-card details.

4. Acceptable use

You agree not to:

• Share, resell, or transfer your account or access to anyone else;
• Attempt to access the tools without an active membership;
• Reverse engineer, disrupt, overload, or attempt to gain unauthorized access to the Service;
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.

5. Not professional advice; your responsibility

The tools are preparation aids only. They are not legal, financial, tax, accounting, regulatory, or compliance advice, and they are not a substitute for your own professional judgment or the review of qualified professionals. We do not file, submit, or transmit anything to NMLS or any other agency, employer, or third party on your behalf.

You are solely responsible for everything you produce with the tools and for everything you file or submit. Outputs of the Mortgage Call Report tools must be independently verified against the official NMLS requirements before filing. Any verification-of-employment packets, authorization or consent language, cover letters, and similar documents generated by the Service are templates that you must review and have approved by your own compliance or legal counsel before use.

6. No warranty

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output is accurate or complete.

7. Limitation of liability

To the fullest extent permitted by law, Simple Software LLC and its members, officers, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or regulatory penalties, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid for membership in the twelve months before the claim, or (b) US $100.

8. Indemnification

You agree to indemnify and hold harmless Simple Software LLC from any claims, losses, or expenses arising out of your use of the Service, your filings or submissions, or your violation of these Terms.

9. Intellectual property

The Service, including its software and content, is owned by Simple Software LLC. Data you enter remains yours; we claim no ownership of it.

10. Termination

We may suspend or terminate access at any time for violation of these Terms or to protect the Service. You may stop using the Service at any time by canceling your subscription.

11. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Colorado.

12. Changes

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
